Terms & Conditions

Please read carefully. These Terms constitute a legally binding agreement between you and Seke3. By using our platform, you accept these Terms in full.
1. Acceptance of Terms
By accessing or using the Seke3 platform ("Service"), you agree to be bound by these Terms & Conditions ("Terms"). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to all of these Terms, you may not use the Service.
2. Description of Service
Seke3 provides an association management software platform that allows organizations to manage members, dues, events, documents, communications, polls, and related organizational activities. The Service is provided on a subscription basis and may include integrations with third-party services.
3. Account Registration and Security
You must create an account to use the Service. You are responsible for: providing accurate and complete registration information; maintaining the confidentiality of your login credentials; all activities that occur under your account; and promptly notifying us of any unauthorized use. You may not share accounts, create accounts for others without their consent, or impersonate any person or entity.
4. Subscription and Payment
Access to certain features requires a paid subscription. All fees are due in advance. Annual subscriptions are billed annually and monthly subscriptions are billed monthly. Prices are subject to change with 30 days notice. You authorize us (through our payment processor Stripe) to charge your payment method on a recurring basis. Failure to pay may result in service suspension.
5. Acceptable Use Policy
You agree not to: use the Service for any illegal purpose or in violation of applicable laws; infringe on intellectual property rights of others; transmit viruses, malware, or harmful code; attempt to gain unauthorized access to any part of the Service or its infrastructure; scrape, crawl, or systematically extract data; use the Service to send spam or unsolicited communications; or interfere with the proper functioning of the Service.
6. Data and Privacy
Your use of the Service is subject to our Privacy Notice, which is incorporated into these Terms by reference. You retain ownership of all data you input into the Service. You grant Seke3 a limited license to process and store your data solely to provide the Service. We will not use your data for any other purpose without your explicit consent.
7. Intellectual Property
The Service, including all software, design, trademarks, and content created by Seke3, is owned by Seke3 and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service during the subscription term. You may not copy, modify, distribute, sell, or sublicense any part of the Service.
8. Third-Party Integrations
The Service integrates with third-party services (such as Stripe for payments, Mapbox for location services). These integrations are governed by their respective third-party terms and privacy policies. Seke3 is not responsible for the performance, security, or practices of third-party services.
9. Service Availability and SLA
We strive to maintain 99.9% uptime. Scheduled maintenance will be announced in advance. In the event of unplanned downtime exceeding our SLA, we will provide service credits upon request. We do not guarantee uninterrupted access and are not liable for interruptions due to factors outside our control, including internet outages, force majeure events, or third-party failures.
10. Termination
Either party may terminate the subscription at any time. You may cancel through your account settings; cancellations take effect at the end of the current billing period. We may terminate or suspend your account immediately if you violate these Terms, engage in fraudulent activity, or fail to pay. Upon termination, your data will be retained for 90 days before deletion.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SEKE3 SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID IN THE 12 MONTHS PRECEDING THE CLAIM.
13. Governing Law and Disputes
These Terms are governed by the laws of the State of Arizona, USA, without regard to conflict of law principles. Any dispute shall first be resolved through good-faith negotiation. If not resolved within 30 days, disputes shall be submitted to binding arbitration in Phoenix, Arizona, under the rules of the American Arbitration Association.
14. Changes to Terms
We may modify these Terms at any time. We will notify you of material changes at least 30 days in advance via email or a notice within the Service. Continued use of the Service after changes take effect constitutes acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Service before the changes take effect.
